You may print and download portions of material from the different areas of the Site solely for your own non-commercial use provided that you agree not to change or delete any copyright or proprietary notices from the materials. You agree to grant to OutsourcingPRO a non-exclusive, royalty-free, worldwide, sub licensable, perpetual license, with the right to sub-license, to reproduce, distribute, transmit, create derivative works of, publicly display and publicly perform any materials and other information (including, without limitation, ideas contained therein for new or improved products and services) you submit to any public areas of the Site (such as bulletin boards, forums and newsgroups) or by e-mail to OutsourcingPRO by all means and in any media now known or hereafter developed. You also grant to OutsourcingPRO the right to use your name in connection with the submitted materials and other information as well as in connection with all advertising, marketing and promotional material related thereto. You agree that you shall have no recourse against OutsourcingPRO for any alleged or actual infringement or misappropriation of any proprietary right in your communications to OutsourcingPRO.

It is up to you to take precautions to ensure that whatever you select for your use is free of such items as viruses, worms, Trojan horses and other items of a destructive nature. References on this Site to any names, marks, products or services of any third parties or hypertext links to third party sites or information are provided solely as a convenience to you, and do not constitute or imply an endorsement, sponsorship or recommendation of, or affiliation with the third party or its products and services. OutsourcingPRO makes no representation or warranty as to any third party Content, products or services, and you agree that OutsourcingPRO shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such third-party Content, products or services available on or through any such site or resource.

LIMITATION OF LIABILITY
In no event will OutsourcingPRO be liable for (i) any incidental, consequential, or indirect damages (including, but not limited to, damages for loss of profits, business interruption, loss of programs or information, and the like) arising out of the use of or inability to use the service, or any information, or transactions provided on the service, or downloaded from the service, or any delay of such information or service. Even if OutsourcingPRO or its authorized representatives have been advised of the possibility of such damages, or (ii) any claim attributable to errors, omissions, or other inaccuracies in the service and/or materials or information downloaded through the service. Because some states do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitation may not apply to you. In such states, OutsourcingPRO liability is limited to the greatest extent permitted by law.

Use of the Site
You understand that, except for information, products or services clearly identified as being supplied by OutsourcingPRO, OutsourcingPRO does not operate, control or endorse any information, products or services on the Internet in any way. Except for OutsourcingPRO identified information, products or services, all information, products and services offered through the Site or on the Internet generally are offered by third parties that are not affiliated with OutsourcingPRO. You also understand that OutsourcingPRO cannot and does not guarantee or warrant that files available for downloading through the Site will be free of infection or viruses, worms, Trojan horses or other code that manifest contaminating or destructive properties. You are responsible for implementing sufficient procedures and checkpoints to satisfy your particular requirements for accuracy of data input and output, and for maintaining a means external to the Site for the reconstruction of any lost data.

In connection with your use of the Site, you agree you will not:
a) Transmit any message, information, data, text, software or images, or other content ("Material") that is unlawful, harmful, threatening, abusive, harassing, tortuous, defamatory, vulgar, obscene, libelous, or otherwise objectionable that may invade another's right of privacy or publicity;

b) Impersonate any person or entity, including but not limited to, an OutsourcingPRO official, forum leader, guide or host or falsely state or otherwise misrepresent your affiliation with a person or entity;

c) Post or transmit any Material that you do not have a right to reproduce, display or transmit under any law or under contractual or fiduciary relationships (such as nondisclosure agreements);

d) Post or transmit any Material that contains a virus or corrupted data;

e) Delete any author attributions, legal notices or proprietary designations or labels that you upload to any communication feature;

f) Use the Site's communication features in a manner that adversely affects the availability of its resources to other users (e.g., excessive shouting, use of all caps, or flooding continuous posting of repetitive text);

g) Post or transmit any unsolicited advertising, promotional materials, "junk mail", "spam," "chain letters," "pyramid schemes" or any other form of solicitation or any non-resume information such as opinions or notices, commercial or otherwise;

h) Violate any applicable local, state, national or international law;
i) Upload or transmit any Material that infringes any patent, trademark, trade secret, copyright or other proprietary rights of any party;

j) Delete or revise any Material posted by any other person or entity;

k) Manipulate or otherwise display the Site by using framing or similar navigational technology, or

l) Register, subscribe, attempt to register, attempt to subscribe, unsubscribe, or attempt to unsubscribe, any party for any OutsourcingPRO product or service if you are not expressly authorized by such party to do so.

You assume total responsibility and risk for your use of the site and the Internet. OutsourcingPRO provides the site and related information "as is" and does not make any express or implied warranties, representations or endorsements whatsoever (including without limitation warranties of title or non infringement, or the implied warranties of merchantability or fitness for a particular purpose) with regard to the service, any merchandise information or service provided through the service or on the internet generally, and OutsourcingPRO shall not be liable for any cost or damage arising either directly or indirectly from any such transaction. It is solely your responsibility to evaluate the accuracy, completeness and usefulness of all opinions, advice, services, merchandise and other information provided through the service or on the Internet generally. You understand further that the Internet contains unedited materials some of which are sexually explicit or may be offensive to you. You access such materials at your risk. OutsourcingPRO has no control over and accepts no responsibility whatsoever for such materials.

Payments
Payments can me made using All Major Credit Cards, Wire/Bank transfer, Paypal or e-Passporte. Contact your Account Representative on the details of the payment methods. Payments must be made promptly as indicated in the Invoice sent and must be in US $ funds. If we do not receive your payment on-time, your account may be terminated. OutsourcingPRO reserves the right to remove any web design project from viewing on the Internet until final and full payment is made. All projects will be hosted on our development server and we will not upload or send any finished works until full payment is received.

For Dedicated/Fulltime staff service, you agree to remit 100% advance full payment for the month service after the free trial promo.

For Part-time/non-fulltime service, you agree to remit 100% upfront payment for $500.00 and lower projects, while for bigger projects higher than $500.00, we require 50% down payment. We do as much redesigns as customer likes and work until full customer’s satisfaction. When the project is 90% complete, the customer agrees to send the rest of the payment (50%). For additional work after the project is complete, we charge a fee according to the staff’s daily rate.

Failure to comply with the above payment terms is subject to immediate cancellation of the trial/service.

Dedicated Staffing (Free Trial)

To qualify for the FREE trial for a dedicated employee, you are required to submit your contact and project details for initial review by your Account Representative and Training Department. Free web-based emails such as Hotmail, Yahoo, MSN, Gmail, etc. are not allowed to be used as the recipient’s official email address, instead we only accept your own domain registered email address. After careful evaluation and you are found eligible for the promo, OutsourcingPRO will send you the scheduled deployment date of your dedicated worker. It takes a maximum of 1-2 weeks depending on the availability and complexity of the project. This will give the staff enough time to prepare and study your requirements. Failure to initiate contact on two (2) consecutive days during the allotted promo period will result to immediate cancellation of the trial service.

Project Supervisor

You agree and will only directly communicate with the Project Supervisor (PS) via ICQ, MSN or AIM, thus your are required installing any of the said programs for easy correspondence. No direct staff contact is allowed, instead, the PS who is certified experienced in the same field will be looking after your staff or team all the time and directly inform you with regular progress of the project. The PS is required to be online during the entire working schedule to address your needs. The employee is guaranteed 100% dedicated and does not do other freelancing works. He reports 8 hrs daily, 6 days/week (equivalent to 48hrs total). The staff is required to submit a daily report of his activity directly to his Project Supervisor for performance checking purposes.

Disk Storage

OutsourcingPRO reserves the right to delete and maintain the limit of storage folder of each staff to approximately 10GB on both workstation and file server. As part of providing you secure maintenance of data, all Project Supervisors are required to perform weekly back-up on your staff’s workstation to a file server. In the event of accidental deletions or hardware failure, OutsourcingPRO will not be held liable in any way. We therefore highly recommend that you provide the Project Supervisor FTP access to your server for regular uploads. If you decide to cancel your account, OutsourcingPRO reserves the right to delete all files on the local workstation and file server after the last day of service.

Project Delivery

The web site design project will be emailed or published to the client's hosting service upon receipt of full payment. The client understands that OutsourcingPRO does not provide any hosting services in connection with this web design project. The client agrees to select a hosting service which allows OutsourcingPRO full access to the client's account via FTP for site uploading.

Cancellation /Termination of Service

You may cancel your account at any time, with proper notification, preferably a week before the next due date. Proper notification includes direct contact with your Account Representative or the Project Supervisor, written notification, or e-mailed notification addressed to sales@OutsourcingPRO.com. Failure to pay does not constitute proper notification, and you will be responsible for all fees accrued to your account until proper notification is received. OutsourcingPRO reserves the right to cancel this service and reimburse you with any unused fees (where appropriate) on a pro-rata basis. If your service is cancelled for misuse according to these Terms and Conditions, OutsourcingPRO reserves the right to apply additional fees and/or administrative costs incurred to your account prior to reimbursement. Please allow 4-6 weeks for reimbursement payment.

Copyright and Trademarks

The client unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks, or other artwork furnished to OutsourcingPRO for inclusion in the web design project are owned by the client, or that the client has permission from the rightful owner to use each of these elements, and will hold harmless, protect and defend OutsourcingPRO from any claim or suit arising from the use of such elements furnished by the client.

Web Design Project Copyright

OutsourcingPRO owns copyright to the finished web design site produced by OutsourcingPRO. The client will be assigned rights to use the web design project as a web site, once final payment under this agreement and any additional charges incurred have been paid. Rights to photos, graphics, source code, work-up files and computer programs are specifically not transferred to the client, and remain the property of their respective owners. OutsourcingPRO retain the right to display graphics, websites, photo restoration samples and other web design elements that OutsourcingPRO created for clients as examples of their work in the portfolio. All web design projects will contain a copyright/legal page with a link to OutsourcingPRO web site.

OutsourcingPRO reserves the right to change the terms, conditions, and notices at any time, and such modifications shall be effective immediately upon posting of such changes. You are therefore responsible for regularly reviewing these Terms of Use and additional terms or notices posted on the OutsourcingPRO website. Your continued access of this website shall be deemed your conclusive acceptance of the modified agreement.
